These Terms and Conditions ("Terms"), together with our Privacy Policy and Service Level Agreements, constitute a legally binding agreement between COEDLOITE PRIVATE LIMITED ("Company", "we", "us", or "our") and you ("User", "Client", or "you") regarding your use of our website, AI agents, WhatsApp Business solutions, and training programs.
By accessing our platforms or completing a transaction, you agree that you have read, understood, and consented to these Terms without modification.
1. General Terms of Use
- You agree to provide true, accurate, and complete information during onboarding, registration, or form submissions.
- You are solely responsible for maintaining the confidentiality of any access credentials, tokens, or dashboard session passwords issued to you.
- Unauthorized attempts to reverse engineer, scrape, probe vulnerabilities, or disrupt our cloud infrastructure will result in immediate termination of access and statutory legal proceedings.
2. WhatsApp Business Communication Terms
In compliance with Meta Platforms Inc. WhatsApp Business policies:
- Opt-In Consent: By sharing your mobile number via our landing pages, inquiry forms, or directly initiating a chat, you provide explicit consent to receive transactional confirmations, meeting invites, and invoice notifications.
- Opt-Out Mechanism: You may opt out of non-critical messaging at any time by simply texting 'STOP' or 'UNSUBSCRIBE' in the WhatsApp thread.
- 24-Hour Customer Care Window: Inbound communications initiate a 24-hour service window wherein our AI sales agents and human solution architects may freely converse to resolve your inquiry.
3. Razorpay Payment Gateway & Commercial Billing
- Commercial payments, fees, and invoice settlements are securely processed via Razorpay Software Private Limited.
- We do not store complete credit card or debit card numbers on our servers; payment card data is tokenized directly via PCI-DSS Level 1 compliant gateways.
- Receipts and GST tax invoices are automatically issued upon webhook confirmation of captured payments.
4. Intellectual Property Rights
All software code, course syllabi, AI agent personas, prompt architectures, branding assets, and graphical elements remain the exclusive intellectual property of COEDLOITE PRIVATE LIMITED. Reproduction or unauthorized distribution without express written consent is strictly prohibited.
5. Limitation of Liability
In no event shall COEDLOITE PRIVATE LIMITED or its directors be liable for indirect, incidental, or consequential damages resulting from third-party network outages (e.g. Meta Cloud API global disruptions, telecom gateway failures, or banking system delays).
6. Governing Law & Dispute Resolution
These Terms shall be interpreted in accordance with the laws of the Republic of India. In the event of any dispute, the parties agree to submit to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka or Pollachi, Tamil Nadu.
